Sub. : Considering the Un-Audited financial Results of the Merged Entity for the quarter ended 31st December 2004.

1. Please refer to our letter No. JVSL/VDNR/SECT/BSE/04-05 dated 17th January 2005, whereby we have informed you that Board Meeting, to consider amongst other things and to take on record the unaudited financial results of the Company for the quarter ended 31.12.2004, is rescheduled to be held on 31.01.2005.

2. In this context, following the approval of the Scheme of Arrangement and Amalgamation between Jindal Vijayanagar Steel Ltd.(JVSL), Jindal Iron & Steel Co. Ltd.(JISCO) and Jindal South West Holdings Ltd. (JSWHL) by the Hon’ble High Court of Karnataka and Mumbai, the Board will take on record the un-audited financial results of the merged entity for the quarter ended 31.12.2004 at their aforesaid meeting and the Company will publish the same in due compliance of clause 41 of the Listing Agreement.
